Terms of Service

These Terms of Service (the "Terms") govern access to and use of the PraedInvest website, application, dashboards, alerts, research tools, visualizations, and related services (the "Service").

"PraedInvest" currently refers to the pre-incorporation venture and platform operated through praedinvest.com by the current registrant/controller of that domain and its authorized representatives, using the planned corporation name PraedInvest Inc. PraedInvest Inc. has not yet been incorporated. After incorporation in Yukon, Canada, the Service, these Terms, and all related rights may be assigned, transferred, or assumed by PraedInvest Inc. without further consent, and references to PraedInvest will include that corporation and its successors and assigns.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms apply to Founder Access, beta, demo, research, and other use of the Service unless PraedInvest provides separate written terms.

PraedInvest provides experimental decision-support and research tools, including dashboards, metrics, visualizations, alerts, model outputs, and related content (collectively, "Content"). The Service is in active research and may change, degrade, produce incomplete results, or be modified, suspended, restricted, or discontinued at any time.

Founder Access, beta, demo, and research features are provided for evaluation and internal decision-support only. No user receives any right to continued access, feature availability, roadmap delivery, exclusivity, compensation, or ownership.

The Service and Content are provided for informational, educational, research, and decision-support purposes only.

PraedInvest is not registered as an investment dealer, portfolio manager, investment fund manager, adviser, broker-dealer, or fiduciary in any jurisdiction. Nothing on the Service is an offer, recommendation, endorsement, solicitation, instruction, or advice to buy, sell, hold, hedge, or otherwise transact in any security, derivative, currency, commodity, crypto asset, fund, strategy, or other asset.

You are solely responsible for your decisions, interpretation, risk management, compliance obligations, and actions. Markets involve risk, including the possible loss of principal. Past performance, backtests, model outputs, regime labels, signals, alerts, or historical relationships do not ensure future results.

You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract to use the Service. You are responsible for ensuring that your use of the Service complies with all laws, rules, regulations, professional obligations, employer policies, and trading restrictions that apply to you.

If you create an account, you agree to provide accurate information, keep credentials confidential, use only your own account, and notify PraedInvest promptly if you suspect unauthorized access. You are responsible for activity under your account.

Subject to these Terms, PraedInvest grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for permitted research, evaluation, and internal decision-support purposes. All rights not expressly granted are reserved.

You may not sell, rent, lease, sublicense, assign, transfer, distribute, publish, or commercially exploit the Service or Content unless PraedInvest gives prior written permission.

The Service, Content, software, source code, object code, models, signals, visualizations, dashboards, reports, workflows, prompts, documentation, designs, interfaces, trade secrets, formulas, methodologies, scoring systems, calibrations, datasets prepared by PraedInvest, research, business logic, and all related intellectual property are owned by PraedInvest, the current registrant/controller of praedinvest.com, PraedInvest Inc. after incorporation and assignment, or their licensors.

No user receives any ownership interest in the Service, Content, platform IP, outputs, models, signals, methodologies, research, or improvements. No implied licenses are granted.

All trademarks, product names, logos, and brand elements are owned by their respective owners. Use of the PraedInvest name, logo, or product marks requires prior written permission.

If you provide feedback, ideas, suggestions, observations, bug reports, feature requests, proposed improvements, comments, or other input about the Service ("Feedback"), you assign to PraedInvest all right, title, and interest in that Feedback and any related improvements to the fullest extent permitted by law.

To the extent any Feedback rights cannot be assigned, you grant PraedInvest a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, disclose, incorporate, commercialize, and otherwise exploit the Feedback without restriction.

PraedInvest may use Feedback and related improvements without providing compensation, attribution, accounting, approval rights, or ownership rights to you, to the fullest extent permitted by law.

You may provide inputs such as tickers, watchlists, preferences, alert settings, and account details. You retain ownership of your inputs, subject to the rights granted in these Terms.

You grant PraedInvest a worldwide, non-exclusive, royalty-free license to host, process, reproduce, use, modify, transmit, and display your inputs as needed to provide, maintain, secure, debug, analyze, and improve the Service. PraedInvest may also use aggregated, de-identified, diagnostic, telemetry, usage, and performance data for research, security, product improvement, model quality, operations, and business purposes.

Do not submit confidential, regulated, proprietary, illegal, or third-party information unless you have the right to do so and the information is necessary for your permitted use.

Non-public features, dashboards, outputs, research, signals, visualizations, screenshots, benchmarks, methods, roadmap information, access credentials, and technical or business information made available through Founder Access, beta access, private demos, or authenticated accounts are confidential to PraedInvest.

Except as expressly authorized in writing, you may not copy, disclose, publish, screenshot for external distribution, benchmark, scrape, crawl, harvest, reverse engineer, decompile, derive models or methodologies from, resell, redistribute, train competing systems on, or use the Service or Content for competitive purposes.

You may not attempt to bypass access controls, rate limits, authentication, feature gates, data protections, logging, or security mechanisms.

The Service may display, process, or depend on third-party data, open-source software, APIs, market data providers, public information, content delivery networks, hosting providers, email providers, or analytics and security tools. Third-party services are governed by their own terms and policies.

PraedInvest does not warrant that third-party data is accurate, complete, timely, available, or suitable for any purpose. Third-party service changes, outages, restrictions, or licensing limits may affect the Service.

If you enable alerts, emails, notifications, or similar features, you consent to receiving those messages. Alerts may be delayed, incomplete, inaccurate, unavailable, or based on stale or missing data. Alerts are not advice, instructions, or recommendations. You can disable alerts where the Service provides that option.

The Privacy Policy explains how PraedInvest collects, uses, shares, and protects personal information. The Privacy Policy is part of these Terms: Privacy Policy.

You may stop using the Service at any time. PraedInvest may suspend, restrict, or terminate your access at any time if PraedInvest reasonably believes that you violated these Terms, created risk for the Service, infringed rights, misused confidential information, created security or operational risk, or used the Service outside the permitted scope.

To request account deletion, contact corporate@praedinvest.com. Some records may be retained where needed for security, legal, operational, dispute, backup, fraud-prevention, or compliance purposes.

To the maximum extent permitted by law, the Service and Content are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise.

PraedInvest disclaims all warranties, including warranties of accuracy, completeness, timeliness, availability, reliability, merchantability, fitness for a particular purpose, title, non-infringement, profitability, suitability for trading or investment use, and uninterrupted or error-free operation.

To the maximum extent permitted by law, PraedInvest and its founders, contributors, contractors, licensors, service providers, successors, and assigns will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages; loss of profits, revenue, opportunity, data, goodwill, or business; trading, investment, financial, tax, or market losses; or decisions made based on the Service or Content.

To the maximum extent permitted by law, PraedInvest's total liability for all claims relating to the Service or these Terms will not exceed the greater of CAD $100 or the amount you paid PraedInvest to use the Service during the 3 months before the claim arose.

You agree to defend, indemnify, and hold harmless PraedInvest and its founders, contributors, contractors, licensors, service providers, successors, and assigns from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from your use of the Service, your inputs, your violation of these Terms, your violation of law, your infringement of rights, or your misuse of confidential information.

PraedInvest may update these Terms from time to time. The "Last updated" date and version identify the current Terms. Continued use of the Service after changes become effective means you agree to the updated Terms. PraedInvest may require renewed acknowledgement for material changes.

These Terms are intended to be governed by the laws of Yukon and the federal laws of Canada applicable there, without regard to conflict-of-laws principles, unless mandatory law provides otherwise.
